Terms of Service

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization. Some connected platforms impose additional age or eligibility requirements; you must comply with those as well.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at vcapeluto@neurovistalabs.com if you suspect unauthorized access. You may not share accounts in a way that violates these Terms or applicable platform rules.

NeuroArt is an AI-powered creative and marketing platform. Depending on your plan and configuration, the Services may include:

• AI image generation (text-to-image, image-to-image, restoration, vision boards)
• Creative packages and print-on-demand workflows
• AI video creation (avatars, talking characters, captions, and exports)
• Marketing & Social (campaigns, scheduling, publishing, leads, inbox, and automations)
• Credits, subscriptions, and billing
• Associate and referral programs where offered

Features may change, be added, or discontinued at our discretion. Beta or experimental features may be offered without warranty and may be modified or withdrawn at any time.

The Services may allow you to connect third-party social, messaging, and publishing accounts, including:

• Meta (Facebook and Instagram)
• WhatsApp
• TikTok
• LinkedIn
• YouTube
• X (formerly Twitter)

When you connect an account, you authorize us to access and use that platform on your behalf according to the permissions you grant — for example to publish posts, read or send messages, retrieve leads, or run automations you configure. You represent that you have the right to connect each account and that your use complies with that platform's terms, developer policies, advertising rules, and community standards.

We are not responsible for third-party platform outages, API changes, account suspensions, reach or delivery limitations, or policy enforcement actions taken by those platforms.

You agree not to:

• Use the Services for unlawful, harmful, fraudulent, deceptive, or abusive purposes.
• Generate or distribute content that infringes intellectual property, privacy, publicity, or other rights.
• Create or distribute illegal content, including child sexual abuse material, non-consensual intimate imagery, or content promoting violence, terrorism, or hate.
• Impersonate others or misrepresent your affiliation without authorization.
• Use the Services to send spam, bulk unsolicited messages, or automated engagement that violates law or platform rules.
• Attempt to bypass security, rate limits, credit systems, or access controls.
• Reverse engineer, scrape, or resell the Services except as expressly permitted.
• Use outputs from the Services in ways that violate applicable advertising disclosure laws (including AI-generated or synthetic media labeling requirements where applicable).

You retain ownership of content you submit, subject to third-party rights in materials you upload. You grant us a worldwide, non-exclusive license to host, process, transmit, display, and publish your content solely to operate and improve the Services — including AI processing, storage, delivery to connected platforms, and support.

AI-generated outputs may not be unique; similar outputs may be produced for other users. You are solely responsible for reviewing outputs before publication or commercial use and for ensuring compliance with applicable laws, platform policies, and disclosure requirements. We do not guarantee accuracy, legality, or suitability of AI outputs for any particular purpose.

If you submit likenesses, voices, trademarks, or copyrighted works, you represent that you have all necessary rights and consents.

The Services, software, branding, documentation, and underlying technology are owned by NeuroVista Labs or its licensors and are protected by intellectual property laws. These Terms do not grant you any right to use our trademarks except as needed to describe your lawful use of the Services.

Paid features, credits, and subscriptions are billed according to pricing shown at purchase. Fees are non-refundable except where required by law or explicitly stated. Unused credits may expire according to plan terms displayed at purchase. Tax amounts may apply based on your location.

If you participate in an associate or referral program, additional program terms may apply. Commission eligibility, payout timing, and prohibited promotion practices are described in program materials and may be updated from time to time.

Our collection and use of personal information is described in our Privacy Policy. Account and integration data may be deleted as described on our Data Deletion page.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT UNINTERRUPTED OR ERROR-FREE OPERATION, THAT AI OUTPUTS WILL BE ACCURATE OR UNIQUE, OR THAT PUBLISHED CONTENT WILL ACHIEVE ANY PARTICULAR REACH OR BUSINESS RESULT ON THIRD-PARTY PLATFORMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEUROVISTA LABS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR PLATFORM ACCESS, ARISING FROM YOUR USE OF THE SERVICES OR ANY CONNECTED PLATFORM. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF (A) AMOUNTS YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS ($100).

You agree to indemnify and hold harmless NeuroVista Labs from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising from your content, your use of the Services, your connected platform activity, or your violation of these Terms or third-party platform policies.

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, if required for security or legal reasons, or if we discontinue the Services. Provisions that by nature should survive termination (including intellectual property, disclaimers, indemnification, and limitation of liability) will survive.

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict-of-law principles. Disputes will be resolved in the state or federal courts located in Miami-Dade County, Florida, unless applicable law requires otherwise.

We may modify these Terms from time to time. Material changes will be posted on this page with an updated date. Continued use after changes constitutes acceptance where permitted by law.
